• In the consulting department, we work alongside our customers to help them make the best decisions possible when resolving the many economic-related questions that may arise within a company from the time it is formed. By its very nature, this work tends to be sporadic, and through it, we try to encourage our staff to participate and to contribute their knowledge. If necessary, we also work with partners.

Because of the infrequency of this work, we start by meeting with the customer to analyze the problem and go over the initial data. We then develop a time and cost estimate, and if the customer approves of it, we determine when the work will begin. Some of the services we offer include:

Incorporation

• In addition to legal advice, we pay special attention to issues such as a company's financial profile, possible investments, reasonable corporate capital, third-party financing, economic viability, and the organization of the company.

Mergers, Spin-Offs, and Securities Exchange

We handle the entire operation, starting with studying the advantage of performing the operation. We analyze the value of assets, rights, and obligations, and we assess the equation of exchange. We draw up the proposed merger and its related documentation, providing advice regarding accounting and taxes.

Company Acquisitions and Disposals

Whether the customer is a buyer or a seller, we assess the target company and attend all pertinent meetings. If necessary, we draft prospectuses and due diligence documents, and we perform any technical and legal work that may be required over the course of the process.

Reports and Statements

In some situations, the company may require expert reports on specific items, addressing financial, economic, tax, legal, or other matters. We have extensive experience in developing such reports.
